POSEUP.AI COMMERCIAL LICENSE AGREEMENT

This Commercial Use License ("License") is granted by PoseUp.ai ("Company", "we", "us", or "our") to you ("Licensee", "you", or "your") for the commercial use of images, content, and materials generated through the PoseUp.ai platform (the "Services").

By purchasing a paid subscription or generating content through PoseUp.ai, you acknowledge and agree to be bound by the terms and conditions set forth in this License.

GRANT OF COMMERCIAL RIGHTS

1. OWNERSHIP OF GENERATED CONTENT

Upon successful generation of enhanced photographs, images, or visual content through the PoseUp.ai AI photography enhancement platform, you retain full ownership and all intellectual property rights to the generated content, including but not limited to:

  • Enhanced portrait photographs and selfies
  • AI-optimized pose adjustments and positioning
  • Background replacements and scene modifications
  • Facial expression adjustments and improvements
  • Color correction and visual enhancements
  • All derivative works and variations created from your original uploads

2. COMMERCIAL USE PERMISSIONS

Subject to the terms of this License and your active subscription status, you are hereby granted a worldwide, non-exclusive, transferable license to:

2.1 Personal and Commercial Use

  • Use generated content for personal, commercial, and professional purposes
  • Include content in marketing materials, advertisements, and promotional campaigns
  • Distribute content across social media platforms, websites, and digital channels
  • Use content for portfolio building, client presentations, and professional photography services

2.2 Distribution and Monetization

  • Sell, license, or distribute generated content as part of commercial products or services
  • Include content in stock photography libraries or digital marketplaces
  • Use content for e-commerce listings, product photography, and commercial photography
  • Generate revenue directly from the enhanced photographs and visual content

2.3 Modification and Derivative Works

  • Edit, modify, crop, or enhance the generated content further
  • Create derivative works and variations based on the generated content
  • Combine generated content with other materials in composite works
  • Apply additional post-processing, filters, or artistic modifications

3. ENTERPRISE AND BUSINESS USE

This License explicitly covers enterprise and business applications, including:

  • Professional photography studios and services
  • Marketing agencies and creative teams
  • E-commerce and product photography
  • Social media management and content creation
  • Influencer marketing and brand partnerships
  • Stock photography and licensing businesses

LICENSE CONDITIONS AND LIMITATIONS

4. SUBSCRIPTION REQUIREMENTS

Commercial use rights are contingent upon:

  • Active Subscription: Maintaining an active Basic, Premium, or Enterprise subscription
  • Usage Limits: Adhering to the image generation limits of your subscription tier
  • Account Standing: Maintaining good standing and compliance with our Terms of Service

5. PROHIBITED COMMERCIAL USES

You may NOT use generated content for:

  • Illegal Activities: Any illegal, harmful, or unethical purposes
  • Defamatory Content: Creating content that defames, harasses, or violates the rights of others
  • Adult Content: Generating, distributing, or monetizing adult, explicit, or inappropriate content
  • Trademark Infringement: Using content in ways that infringe on third-party trademarks or brands
  • Competing Services: Creating competing AI photography or image enhancement services
  • Bulk Redistribution: Mass distribution of content as a primary business model without value addition

6. ATTRIBUTION REQUIREMENTS

6.1 No Attribution Required for Standard Use

For most commercial applications, no attribution to PoseUp.ai is required, including:

  • Social media posts and marketing materials
  • E-commerce listings and product photography
  • Professional portfolio and client work
  • Stock photography and licensing

6.2 Optional Attribution

While not required, we appreciate attribution in the form of:

  • "Enhanced with PoseUp.ai"
  • "AI-powered photography optimization by PoseUp.ai"
  • Link to poseup.ai in appropriate contexts

WARRANTIES AND REPRESENTATIONS

7. CONTENT ORIGINALITY ASSURANCE

PoseUp.ai provides the following warranties regarding generated content:

7.1 AI-Generated Originality

  • All enhancements and modifications are generated by our proprietary AI algorithms
  • Generated content does not directly copy or replicate existing copyrighted works
  • Our AI models are trained on legally licensed and ethically sourced datasets

7.2 User Responsibility for Source Material

You represent and warrant that:

  • You own all rights to uploaded source photographs
  • You have necessary permissions for any individuals appearing in uploaded images
  • Your source material does not infringe on third-party rights or copyrights
  • You have the legal right to modify and enhance the uploaded photographs

8. QUALITY AND PERFORMANCE

8.1 Service Standards

  • Processing Time: Standard processing within 20 seconds for most image types
  • Output Quality: Professional-grade enhancement suitable for commercial use
  • Resolution Standards: Output images suitable for both digital and print applications
  • Format Compatibility: Generated content in widely-supported image formats

8.2 Technical Limitations

  • Results may vary based on source image quality and characteristics
  • Certain complex modifications may require multiple processing attempts
  • Output quality depends on input image resolution and lighting conditions

DATA PRIVACY AND SECURITY

9. IMAGE DATA HANDLING

9.1 Temporary Processing

  • Uploaded images are processed temporarily and securely
  • Source images are automatically deleted within 24 hours of processing
  • Generated content can be downloaded immediately upon completion

9.2 Privacy Protection

  • No images are stored permanently without explicit user consent
  • No user content is used for AI model training or improvement without opt-in agreement
  • All processing occurs on secure, encrypted servers with enterprise-grade security

10. COMMERCIAL CONFIDENTIALITY

For enterprise and professional users:

  • Client Privacy: We maintain strict confidentiality regarding commercial projects
  • Non-Disclosure: We do not share or publicize generated content without permission
  • Secure Processing: Enterprise-grade security measures for sensitive commercial content

INDEMNIFICATION AND LIABILITY

11. USER INDEMNIFICATION

You agree to indemnify and hold PoseUp.ai harmless from any claims, damages, or legal issues arising from:

  • Copyright Infringement: Claims that your source material infringes third-party rights
  • Commercial Use: Any disputes related to your commercial use of generated content
  • Misuse: Use of generated content in violation of this License or applicable law
  • Third-Party Claims: Any claims by individuals appearing in your source photographs

12. LIMITATION OF LIABILITY

12.1 Service Limitations

  • PoseUp.ai provides content enhancement services on an "as-is" basis
  • We do not guarantee specific commercial outcomes or revenue generation
  • Technical limitations may affect the quality or style of generated content

12.2 Maximum Liability

Our maximum liability for any claims related to generated content is limited to the amount paid for your subscription during the 12 months preceding the claim.

LICENSE MANAGEMENT

13. LICENSE DURATION

13.1 Perpetual Rights

Content generated during an active subscription period retains commercial use rights in perpetuity, even after subscription cancellation or expiration.

13.2 Future Generation

New content generation requires an active subscription, but previously generated content maintains its commercial license indefinitely.

14. TRANSFER AND ASSIGNMENT

14.1 License Transfer

Commercial use rights for generated content can be:

  • Transferred to clients as part of professional photography services
  • Assigned to employers for corporate photography projects
  • Licensed to third parties for commercial use or distribution

14.2 Documentation

This License serves as proof of commercial use rights and can be provided to clients, partners, or legal representatives as needed.

15. FREE TIER LIMITATIONS

  • Personal Use Only: Free tier content is limited to personal, non-commercial use
  • Watermarked Content: May include PoseUp.ai watermark on generated images
  • Limited Processing: Reduced image generation limits and processing priority

16. PAID TIER BENEFITS

16.1 Basic Plan ($10/month)

  • Full Commercial Rights: Complete commercial use license for all generated content
  • No Watermarks: Clean, professional output without branding
  • 150 Images/Month: Sufficient for small business and individual professional use

16.2 Premium Plan ($30/month)

  • Extended Commercial Rights: Enhanced licensing for enterprise applications
  • Bulk Processing: Up to 10 images per batch for efficient workflow
  • 500 Images/Month: Suitable for agencies, studios, and high-volume users
  • Priority Support: Dedicated support for commercial users

17. GOVERNING LAW

This License is governed by the laws of [Jurisdiction], without regard to conflict of law principles. Any legal disputes will be resolved through the dispute resolution mechanisms outlined in our Terms of Service.

18. COMPLIANCE REQUIREMENTS

Users must comply with:
